TERMS AND CONDITIONS

1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Algorion Research and Analysis Private Limited ("Algorion", "Company", "we", "us", or "our"), governing your access to and use of the mobile application and/or website (collectively, the "App" or "Platform") offering Fundamental Analysis, Technical Analysis, Scorecard, Summary, AI Forecast, Ask Intelligence, IPO Explorer, Trending Stocks, and related financial information and research tools (collectively, the "Services").

By downloading, installing, registering for, accessing, or using the App in any manner, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Cancellation and Refund Policy, each of which is incorporated herein by reference. If you do not agree to these Terms in their entirety, you must not access or use the App.

We reserve the right to modify, amend, or update these Terms at any time, at our sole discretion, by posting the revised Terms within the App. Material changes will be notified to you through reasonable means such as an in-app notice or email. Your continued use of the App after such changes constitutes your acceptance of the revised Terms.

2. Eligibility

The Service is available only to individuals who are at least 18 years of age and who are competent to enter into a binding contract under the Indian Contract Act, 1872. By using the App, you represent and warrant that you meet this eligibility requirement and that all registration information you provide is accurate, current, and complete. We reserve the right to refuse access to, suspend, or terminate the account of any User who we believe does not meet these eligibility requirements or who has provided false or misleading information.

4. Account Registration and Security

• You must register for an account using a valid phone number and complete OTP-based verification via Firebase Auth / Supabase Auth, or sign in using Google OAuth or Facebook Auth.
• You are responsible for maintaining the confidentiality of your login credentials and OTPs, and for all activities that occur under your account.
• You must notify us immediately of any unauthorised use of your account or any other breach of security.
• We reserve the right to suspend or terminate accounts that we reasonably believe are being used fraudulently, in violation of these Terms, or in a manner that risks harm to Algorion or other Users.

5. Subscription Plans, Fees, and Payments

Certain features of the App may be offered free of charge, while others may require payment of a subscription fee or one-time fee ("Paid Services"). All payments are processed through Cashfree Payments India Private Limited, a third-party payment gateway authorised to operate as a Payment Aggregator regulated by the Reserve Bank of India ("RBI") under the Payment and Settlement Systems Act, 2007 and RBI's consolidated Master Direction on the Regulation of Payment Aggregators. By making a payment, you agree to Cashfree's applicable terms of service in addition to these Terms. Algorion does not itself require, and does not hold, registration or authorisation from the RBI as a Payment Aggregator or Payment System Operator, as we do not ourselves hold, settle, or have access to customer funds outside of amounts routed through Cashfree's regulated infrastructure; we act solely as a merchant on the Cashfree platform.

We reserve the right to change our pricing, introduce new fees, or modify subscription tiers at any time, with reasonable prior notice posted within the App. All fees are quoted in Indian Rupees (INR) unless otherwise specified and are exclusive of applicable taxes, including Goods and Services Tax (GST), unless stated otherwise. Cancellation and refund terms applicable to Paid Services are set out in our separate Cancellation and Refund Policy, which forms part of these Terms.

6. Location and Delivery-Related Features

Where the App requests access to your precise location (via the geolocator and geocoding packages and Google Maps Flutter SDK) for the purpose of facilitating physical delivery of any goods, printed reports, or merchandise associated with the Service, you agree to provide accurate address information. Algorion is not responsible for delivery delays or failures resulting from inaccurate address or location information provided by you, or from causes beyond our reasonable control, including courier or logistics partner failures.

7. Acceptable Use

You agree that you will not, and will not permit any third party to:

1. Use the App for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation, including securities laws.
2. Use automated means, including bots, scrapers, or crawlers, to extract data, content, or analytics from the App without our prior written consent.
3. Reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, or underlying methodology of our Scorecard, AI Forecast, or other proprietary features.
4. Misrepresent your identity, impersonate any person or entity, or provide false registration information.
5. Use the App to transmit any virus, malware, or other harmful computer code.
6. Redistribute, resell, sublicense, or commercially exploit any data, content, or output obtained from the App, including market data sourced under licence from our third-party data providers, without authorisation.
7. Use the AI Forecast, Ask Intelligence, or any other feature to generate content that is defamatory, unlawful, or that violates the intellectual property or other rights of any third party.
8. Hold out the App, its outputs, or Algorion as a SEBI-registered Research Analyst or Investment Adviser, or otherwise misrepresent our regulatory status to any third party.

We reserve the right to suspend or terminate access for any User found to be in violation of this Section 7, without prior notice and without liability. Algorion functions, in respect of any user-generated content submitted through the App (such as Ask Intelligence queries, reviews, or support communications), as an "intermediary" within the meaning of Section 2(1)(w) of the Information Technology Act, 2000, and undertakes to observe applicable due diligence requirements under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, as amended, including removal of unlawful content upon receipt of actual knowledge or a valid government/court order. This intermediary status does not extend to content authored or generated directly by Algorion, including AI Forecast and Scorecard outputs, for which our own disclaimers in this Section apply.

8. Intellectual Property Rights

All intellectual property rights in and to the App, including but not limited to its software, source code, design, user interface, trademarks, logos, the "Algorion" name and branding, proprietary scoring methodologies, algorithms, and compiled databases, are owned by or licensed to Algorion. Nothing in these Terms grants you any right, title, or interest in such intellectual property, except a limited, non-exclusive, non-transferable, revocable licence to access and use the App for your personal, non-commercial use in accordance with these Terms.

Market data, charts, and financial information displayed within the App may be licensed from or sourced under the respective terms of use of third-party providers, including TradingView (utilising open-source components), Yahoo Finance, Finnhub, FinEdge, and various RSS feed publishers. Such data remains subject to the intellectual property rights of the respective providers, and your use of such data through the App is subject to any additional restrictions imposed by those providers, which we will make reasonably available to you upon request.

9. Third-Party Services and Links

The App integrates with and relies upon a number of third-party services, including Firebase, Supabase, Cashfree, Google Maps Platform, Google OAuth, Facebook Auth, and the Groq API, as well as third-party financial data feeds including RSS feeds, FinEdge, Finnhub, Yahoo Finance, and TradingView open-source tools. We do not control these third parties and are not responsible for their content, accuracy, availability, security practices, or terms of service. Your use of such integrated third-party services may be subject to their respective terms and privacy policies, which we encourage you to review.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALGORION, ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR INVESTMENT, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP SHALL NOT EXCEED THE AMOUNT, IF ANY, PAID BY YOU TO ALGORION FOR THE PAID SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Nothing in these Terms shall limit or exclude liability that cannot be limited or excluded under applicable Indian law, including liability arising from fraud or wilful misconduct.

12. Indemnification

You agree to indemnify, defend, and hold harmless Algorion, its directors, officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your access to or use of the App; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any investment or financial decision made by you based on information obtained from the App.

13. Suspension and Termination

We may suspend or terminate your account or access to the App, in whole or in part, at any time, with or without notice, for any reason, including breach of these Terms, suspected fraudulent activity, or at our sole discretion to protect the integrity of the Service. You may terminate your account at any time by following the in-app account deletion process or by contacting our support team. Termination of your account does not relieve you of any payment obligations accrued prior to termination, and is subject to the terms of our Cancellation and Refund Policy.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved amicably through good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be referred to arbitration conducted in accordance with the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed mutually by the parties, with the seat and venue of arbitration in Bharuch, India, and the language of arbitration being English. Subject to the foregoing, and without prejudice to any jurisdiction that SEBI, the RBI, the Data Protection Board of India constituted under the DPDP Act, or any other statutory or regulatory authority may exercise over Algorion under their respective governing statutes (including the Securities and Exchange Board of India Act, 1992, the Payment and Settlement Systems Act, 2007, the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023), the courts at Bharuch, India shall have exclusive jurisdiction over any matters not subject to arbitration.

15. Severability and Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it shall be severed, and the remaining provisions of these Terms shall continue in full force and effect. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

16. Entire Agreement

These Terms, together with our Privacy Policy and Cancellation and Refund Policy, constitute the entire agreement between you and Algorion with respect to your use of the App and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to such subject matter.

17. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, governmental action, labour disputes, internet or telecommunications failures, power outages, or failures or outages of third-party infrastructure providers, payment gateways, or data feed providers including Firebase, Supabase, Cashfree, Google Maps Platform, the Groq API, FinEdge, Finnhub, Yahoo Finance, or TradingView components. Performance obligations affected by such events shall be suspended for the duration of the relevant cause.

18. Market Data Accuracy and Third-Party Data Disclaimer

The App displays market data, charts, fundamental metrics, and news content sourced from third-party providers, including RSS feeds, the FinEdge API, the Finnhub API, the Yahoo Finance API, and TradingView open-source components. Such data may be delayed, incomplete, or subject to correction by the originating exchange or data provider, and Algorion does not guarantee its real-time accuracy. You acknowledge that data displayed within the App, including prices, volumes, and fundamental ratios, may differ from data available directly from a stock exchange or your broker, and that you should verify critical data points independently, particularly before executing any trade or financial transaction outside the App.

Where the App displays an IPO Explorer feature summarising details of upcoming or ongoing initial public offerings, such summaries are derived from publicly available filings, exchange announcements, and third-party data feeds, and are provided for informational convenience only. You must refer to the official prospectus, red herring prospectus, or other statutory offer document filed by the relevant issuer with SEBI and the stock exchanges before making any decision to apply for or invest in any IPO, and must not rely solely on summaries presented within the App.

19. Feedback and Suggestions

If you provide us with feedback, suggestions, or ideas regarding the App, including proposed features, improvements to the Scorecard methodology, or AI Forecast enhancements, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate such feedback into the App without any obligation to compensate you or attribute the feedback to you.

20. Export Control and Sanctions Compliance

You represent that you are not located in, under the control of, or a national or resident of any country or region subject to comprehensive sanctions under Indian or applicable international law, and that you are not listed on any denied-party or restricted-party list. You agree not to use the App in violation of any applicable export control or economic sanctions law.

21. Assignment

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of our assets, including in connection with any restructuring undertaken in anticipation of or following SEBI registration.

22. Relationship of Parties

Nothing in these Terms shall be construed as creating any agency, partnership, joint venture, employment, or fiduciary relationship between you and Algorion, except to the limited extent, if any, that a fiduciary relationship may arise by operation of law following grant of SEBI registration and in connection with services explicitly designated as regulated advisory or research services at that time.

23. Notices

We may provide notices to you under these Terms via email to the address associated with your account, push notification, SMS, or by posting a notice within the App. You agree that such methods constitute valid legal notice. Notices to us should be sent to the contact details provided in Section 25 below, and shall be deemed received upon our written acknowledgment of receipt.

24. Survival

Provisions of these Terms which, by their nature, are intended to survive termination of your account or these Terms, including but not limited to Sections 8 (Intellectual Property Rights), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), and 14 (Governing Law and Dispute Resolution), shall survive any termination or expiry of these Terms.
